Conclusion of the Contract

The contract between the Buyer and the Seller may be concluded in two ways.

Before placing an order, the Buyer has the right to negotiate all provisions of the contract with the Seller, including those that amend the provisions of these Regulations. Such negotiations must be conducted in writing and sent to the Seller’s address:

If the Buyer waives the possibility of concluding the contract through individual negotiations, the following Regulations and the applicable provisions of law shall apply.

REGULATIONS

§1 Definitions

Postal Address – the name and surname or name of the institution, location in the locality (in the case of towns divided into streets: street, building number, apartment or premises number; in towns not divided into streets: name of the locality and property number), postal code and locality.

Delivery – the type of transport service together with the carrier and cost listed in the delivery price list available at http://loft-shop.pl/dostawa.

Proof of Purchase – an invoice, receipt, or bill issued in accordance with the Polish VAT Act of 11 March 2004, as amended.

Product Card – a subpage of the store containing information about a single product.

Client – an adult natural person with full legal capacity, a legal person, or an organizational unit without legal personality but with legal capacity, making a purchase from the Seller in connection with their business or professional activity.

Civil Code – the Act of 23 April 1964 (Journal of Laws, as amended).

Code of Good Practice – a set of conduct rules, particularly ethical and professional standards, referred to in Art. 2 point 5 of the Act on Counteracting Unfair Market Practices of 23 August 2007, as amended.

Consumer – an adult natural person with full legal capacity, making a purchase from the Seller not directly related to their business or professional activity.

Cart – a list of products created from the items offered in the store based on the Buyer’s selections.

Buyer – both the Consumer and the Client.

Place of Delivery – the postal address or collection point indicated by the Buyer in the order.

Moment of Delivery – the moment when the Buyer or a third party designated by them takes possession of the item.

Payment – the method of payment for the subject of the contract and delivery, as listed at http://loft-shop.pl/dostawa.

Consumer Rights Act – the Act of 30 May 2014 on Consumer Rights.

Product – the minimum and indivisible quantity of goods that may be the subject of an order, indicated in the Seller’s store as the unit of measure used to determine the price (price/unit).

Subject of the Contract – the Products and Delivery being the subject of the contract.

Collection Point – a place of delivery other than a postal address, listed in the Seller’s store.

Goods – a movable item that may be or is the subject of a contract.

Store – the online service available at http://www.loft-shop.pl, through which the Buyer may place an order.

System – a set of cooperating IT devices and software enabling data processing, storage, transmission, and reception via telecommunications networks using appropriate end devices, commonly referred to as the Internet.

Order Fulfilment Period – the number of hours or business days specified on the product card.

Contract – a contract concluded outside the business premises or at a distance within the meaning of the Consumer Rights Act of 30 May 2014 (for Consumers) and a sales contract within the meaning of Art. 535 of the Civil Code (for Clients).

Defect – both a physical and legal defect.

Physical Defect – non-compliance of the sold item with the contract, particularly if the item:

  • does not have the properties it should have due to its purpose or as specified in the contract,

  • lacks properties assured by the Seller,

  • is unfit for the purpose communicated by the Consumer at the time of conclusion,

  • was delivered incomplete,

  • was incorrectly assembled or installed by the Seller or by the Consumer following the Seller’s instructions,

  • lacks properties assured by the manufacturer, representative, or importer unless the Seller was unaware of such assurances or they were corrected prior to the conclusion of the contract.

Legal Defect – when the sold item is owned by a third party or encumbered with third-party rights, or when limitations arise from an official decision or judgment.

Order – the Buyer’s declaration of intent made via the store specifying the type and quantity of products, delivery method, payment type, place of delivery, and Buyer’s details, directly aimed at concluding a contract between the Buyer and Seller.

§2 General Conditions

  • The contract is concluded in Polish, in accordance with Polish law and these Regulations.

  • The place of delivery must be within the territory of Poland.

  • The Seller undertakes to provide services and deliver goods free of defects.

  • All prices are quoted in Polish currency and include VAT. Delivery costs are listed in the delivery price list.

  • All deadlines are calculated in accordance with Art. 111 of the Civil Code.

  • Confirmation of the order and all key contract details are sent by e-mail, including: order details, withdrawal information, these Regulations (PDF), a withdrawal form (PDF), and download links.

  • Product photos shown are for illustration only and represent examples of items that may be custom-made for the Buyer. Actual appearance and colour vary by order.

  • The Seller informs about known third-party warranties for products available in the store.

  • The Seller does not charge any fees for communication via remote means. The Buyer bears costs resulting from their service provider’s tariff.

  • The Store functions properly in the following browsers: IE 7+, Firefox 3+, Opera 9+, Chrome 10+, Safari with updated Java and Flash on screens above 1024px. Third-party browser extensions may affect proper display.

  • The Buyer may opt to save their details for faster future orders. Login and password must be kept confidential. The Buyer may view, correct, update, or delete their account at any time.

  • The Seller complies with the Code of Good Practice.

§3 Contract Conclusion and Fulfilment

Orders can be placed 24/7 exclusively in electronic written form.

To place an order, the Buyer must:

  1. Add a product to the cart;

  2. Choose the type of delivery;

  3. Choose the payment method;

  4. Choose the delivery address;

  5. Place the order using the “Order and Pay” button, or by e-mail at [email protected].

  • For Consumers, the contract is concluded upon order placement.

  • Cash-on-delivery orders are processed immediately. Orders paid by bank transfer or online payment are processed after payment is credited to the Seller’s account (within 3 days unless delay is beyond the Consumer’s control).

  • For Clients (businesses), the contract is concluded upon order acceptance, confirmed by the Seller within 48 hours.

  • The order is shipped within the period indicated on the product card (the longest in case of multiple items).

  • The purchased item, along with a sales document and attachments, is delivered to the address indicated by the Buyer.

§4 Right of Withdrawal

Under Art. 27 of the Consumer Rights Act, the Consumer has the right to withdraw from a distance contract within 14 days without giving any reason and without incurring costs other than those specified in Art. 33 and 34 of the Act.

  • The withdrawal period expires 14 days from the date of receipt of goods.

  • The Consumer may submit a withdrawal statement using the form available at http://www.loft-shop.pl/odstapienie.pdf or any other form compliant with the Act.

  • The Seller will promptly confirm receipt of the withdrawal notice via e-mail.

  • The Consumer must return the goods within 30 days at their own cost and risk.

  • The Seller will refund all payments, including standard delivery costs, within 14 days of receiving the withdrawal notice. If a more expensive delivery option was chosen, the additional cost will not be refunded.

  • Refunds are made to the bank account unless another cost-free method is agreed.

  • The Seller may withhold the refund until the goods are received or proof of return is provided.

The right of withdrawal does not apply to contracts for:

  • custom-made or personalized items,

  • items that deteriorate quickly,

  • sealed goods unfit for return once opened for hygiene reasons,

  • goods inseparably combined with others after delivery,

  • audio/video recordings or software in sealed packaging once opened,

  • digital content not supplied on a tangible medium when performance has begun with the Consumer’s consent,

  • newspapers, periodicals, or magazines (except subscriptions).

§5 Warranty (Defects)

  • The Seller fully excludes warranty liability towards business Clients under Art. 558 §1 of the Civil Code.

  • The Seller is liable towards Consumers under Art. 556 et seq. of the Civil Code for physical and legal defects (warranty).

  • If a defect is found within one year, it is presumed to have existed at delivery.

    • demand a price reduction;

    • withdraw from the contract;

    • or demand repair/replacement unless impossible or excessively costly.

      The Consumer may:

  • The Seller bears the cost of repair/replacement and must respond to the Consumer’s request within 14 days.

  • The warranty period is two years from delivery (one year for used goods).

  • Claims related to defects discovered later remain valid if the defect was fraudulently concealed.

§6 Privacy Policy and Personal Data Protection

The database administrator of personal data provided by Consumers is the Seller.

The Seller undertakes to protect personal data in accordance with the Act on the Protection of Personal Data of 29 August 1997 and the Act on Electronic Services of 18 July 2002.

By providing their personal data when placing an order, the Buyer consents to their processing for order fulfillment.

The Buyer may access, correct, update, or delete their data at any time.

§7 Final Provisions

  • None of the provisions of these Regulations is intended to infringe the Buyer’s rights. In case of any inconsistency, Polish law shall prevail.

  • Registered Buyers will be informed of any changes to the Regulations via e-mail at least 30 days before they come into effect.

  • The current version of the Regulations is always available at http://loft-shop.pl/regulamin.

  • During order processing and post-sale service, the Regulations accepted at the time of order apply, unless the Consumer opts for the newer version.

  • In matters not regulated herein, applicable Polish legal provisions apply.

  • Disputes may be resolved through mediation before the Provincial Trade Inspection Authority, arbitration courts, or competent common courts.
